SilverWise Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SilverWise platform, operated by Lever Design OÜ (registry code 14922370), located at Katusepapi 4, Tallinn, Estonia (“we,” “us,” or “SilverWise”). By accessing or using SilverWise, you agree to be bound by these Terms.

1. Eligibility and Access

To use SilverWise, you must be at least 18 years old and have the authority to represent a legal entity (such as a care home or municipality). Access to SilverWise may be granted through a paid subscription agreement signed directly with SilverWise.

2. Description of the Service

SilverWise is a cloud-based care home management system that provides tools for:

• Resident care plan documentation and tracking
• Worker scheduling and shift management
• Secure file and document storage
• Internal communication tools and noticeboards
• Inventory and room management
• Real-time analytics and compliance tools

We reserve the right to modify or discontinue any features or modules with prior notice, unless otherwise agreed in a signed contract.

3. User Accounts and Security

You are responsible for all activities that occur under your user accounts. You agree to:

• Provide accurate and complete registration information
• Maintain the confidentiality of your login credentials
• Notify us immediately of any unauthorized access or security breach

4. Data Protection and Privacy

Our handling of personal data is governed by our Privacy Policy. We process personal data in compliance with the General Data Protection Regulation (GDPR) and relevant local data protection laws. If required by law or agreement, we also offer a separate Data Processing Agreement (DPA).

5. Customer Obligations

You agree to:

• Use SilverWise in compliance with all applicable laws and regulations
• Ensure your staff is trained and authorized to access the platform
• Not attempt to reverse-engineer or copy the platform
• Report bugs or security issues to SilverWise support

6. Intellectual Property

All content, software, and technology provided through SilverWise are owned or licensed by Lever Design OÜ. You receive a non-exclusive, non-transferable license to use the platform under the terms of your subscription.

7. Subscription and Billing

If you are using a paid version of SilverWise, terms of pricing, billing cycles, and payment terms will be defined in a signed agreement between your organization and SilverWise. Failure to pay may result in service suspension or termination.

8. Service Availability

We strive for 99.9% uptime and aim to provide continuous availability of the SilverWise platform. Planned maintenance or technical updates may require downtime, which we will communicate in advance where possible.

9. Limitation of Liability

To the maximum extent permitted by law, SilverWise is not liable for indirect, incidental, or consequential damages, including loss of data, loss of revenue, or interruption of service. Our total liability under these Terms is limited to the amount paid by you in the last 12 months.

10. Termination

We may suspend or terminate your access to SilverWise for material breach of these Terms. Upon termination, your access to the platform and all associated data will be revoked unless otherwise specified by contract.

11. Governing Law

These Terms are governed by the laws of the Republic of Estonia. Any disputes shall be resolved in Harju County Court (Harju Maakohus), unless otherwise agreed.
